Corporate Paralegal

Position summary: We are seeking a highly organized, detail-oriented Paralegal to support the legal and compliance function of our growing medical device company. This role will be instrumental in contract management, regulatory documentation, corporate governance, and cross-functional legal support. The ideal candidate will thrive in a fast-paced, collaborative environment and bring strong legal acumen along with flexibility to support evolving business needs, in all cases working closely with, and at the direction of one or more Attorney(s) in accordance with the American Bar Association (ABA) definition of a Paralegal.

The ideal candidate will have hands-on experience with drafting, negotiating, and reviewing commercial contracts, as well as managing contract lifecycles (CLM). This role also requires strong capabilities in administrative support and legal operations.

KEY RESPONSIBILITIES (Summary):

  • Assist attorneys in drafting, review, and negotiation of a wide range of commercial contracts, other agreements and legal documents.
  • Assist in the development and management of contract lifecycle processes using CLM tools and systems.
  • Support legal operations including compliance tracking, document management, and process optimization.
  • Perform administrative duties such as scheduling, filing, and internal coordination.
Essential duties & responsibilities: (detailed description)
Key responsibilities of the role will include, without limitation:
  • Contract Management:
    • Assist Attorneys with drafting, review, and maintenance of contract templates (NDAs, commercial contracts, rebate agreements, vendor agreements, clinical trial agreements, consulting agreements, etc.)
    • Track contract lifecycles, deadlines, renewals, and approvals.
    • Assist in the development or implementation document management software (DMS) systems and contract lifecycle management (CLM) system(s) or similar system.
    • Support Attorneys and internal stakeholders in the contract negotiation process by coordinating with internal stakeholders and, on occasion, external parties.
    • Maintain various logs for tracking contracts.
    • Ensure proper adherence to contract routing procedures.
    • Drafting letters and other legal documents and proofreading and checking for accuracy.
    • Perform contract comparisons and contract revisions.
    • Perform other duties as assigned under the supervision and direction of Attorneys.
  • Regulatory and Compliance Support:
    • Assist with regulatory filings and document management related to FDA submissions and product approvals.
    • Maintain records to ensure compliance with applicable medical device regulations (e.g., FDA, EU MDR, ISO 13485).
    • Monitor and help implement changes in compliance requirements, including Sunshine Act and other transparency obligations.
  • Corporate Governance:
    • Support corporate filings and maintain minute books and corporate records.
    • Assist in the preparation of board and committee materials and resolutions.
  • General Legal and Administrative Support:
    • Conduct legal research on issues related to medical devices, intellectual property, employment law, and other relevant topics.
    • Maintain confidentiality and ensure data security across legal processes.
    • Support training efforts and policy development for internal teams.
    • Arrange appointments, meetings and travel schedule
    • Must be willing and able to commute into the 505 Park Ave. HQ Office 5 days a week
Education & special trainings:
  • Bachelor's or Associate's degree or equivalent
  • Paralegal Certificate from an ABA-approved program.a plus
Qualifications & experience:
  • Minimum of two (2) years' experience in a legal environment, preferably in the life sciences, healthcare, or medical device industry.
  • Strong knowledge of, or demonstrated interest in, contracts, regulatory documentation, and corporate governance.
  • Excellent organizational skills required
  • Attention to detail and strong proofreading skills
  • Ability to take direction and adjust to shifting priorities in a demanding business environment
  • Strong verbal and written communication skills.required
  • Excellent customer service skills, "can-do” attitude and growth mindset
  • Expertise in Microsoft Office and experience with document management systems.
Physical & mental requirements: Physical Requirements:
  • Prolonged periods of sitting at a desk and working on a computer (sometimes exceeding 12 hours per day).
  • Ability to occasionally lift office supplies and equipment, up to 15 pounds.
  • Occasional travel for team events, training, or company meetings.
